1. Who you are agreeing with.
ShopShift is operated by SVEA IT, a Danish business registered under CVR-no. 36606061 ("ShopShift", "we", "us"). These Terms of Service ("Terms") form a binding contract between you ("Customer") and ShopShift. By creating an account, starting a free trial, accessing the dashboard, or installing the ShopShift snippet on a webshop you own or operate, you agree to these Terms. If you do not agree, do not use ShopShift.
2. The service.
ShopShift is a software-as-a-service platform. We crawl public pages of your webshop, observe anonymous visitor behavior via a JavaScript snippet you install, and propose and run A/B experiments to improve conversion rate. The service is delivered "as a service" — there is no on-premise component to install beyond the snippet.
3. Free trial.
Every new account starts with a thirty (30) day free trial. We require a valid payment method at sign-up because providing the service has direct cost (AI inference, hosting, the snippet CDN), and because requiring a card up front protects honest customers from fraudulent trial abuse — but no charge is made during the free trial.
You may cancel at any time during the trial directly from the dashboard. If you cancel during the trial, your card is never charged and you keep access until the end of the thirty-day trial period.
If you do not cancel before the end of the thirty-day trial period, you authorize us to automatically charge the payment method on file for the first monthly subscription fee, and your subscription will begin and renew monthly thereafter under Section 4.
The free trial is offered once per Customer (one trial per email address and per webshop URL). We may decline to offer a trial, or terminate a trial, if we detect signs of abuse or if the same person creates multiple accounts.
4. Subscription, billing, and cancellation.
ShopShift is sold as a flat monthly subscription of ninety-nine US Dollars (USD 99) per webshop, billed in advance. The subscription auto-renews each month unless you cancel from the dashboard. Cancellation takes effect at the end of the current billing month — you keep access until the end of the period you've already paid for, and we do not bill you again. There is no cancellation fee, no annual commitment, and no lock-in.
If a renewal payment fails, we will attempt to recover it for up to seven days; after that we may suspend access to the dashboard until payment is current. Refund and cancellation specifics are in our Cancellation & Refunds Policy.
5. Your responsibilities.
You are responsible for: (a) the accuracy of information you provide to ShopShift; (b) maintaining the confidentiality of your account credentials; (c) ensuring you have the right to install the ShopShift snippet on the webshop you connect; (d) obtaining valid visitor consent in jurisdictions that require it (the snippet honors standard consent signals — see the Privacy Policy); and (e) the legal compliance of your own webshop (product claims, refund handling, age-gating, etc.). ShopShift is a tool you use, not a substitute for legal review of your own commerce.
You agree not to use ShopShift to track sites you do not own or operate, to conduct experiments designed to deceive consumers about price, availability, or terms, or to apply DOM changes to checkout flows in a way that misrepresents the merchant of record.
6. Intellectual property.
ShopShift retains all rights to the platform, the dashboard, the snippet, the AI prompts, and the underlying models and orchestration code. You retain all rights to your shop's content, your products, your brand, and the experiment outcomes generated for your account. ShopShift may use aggregated, de-identified data about platform-wide performance to improve the service.
7. Service availability.
We aim for high availability but do not guarantee uninterrupted service. The snippet is designed to fail open — if our backend is unreachable, your shop renders normally without ShopShift's experiments running. We do not take responsibility for revenue you believe was lost during a brief outage.
8. Disclaimer & limitation of liability.
ShopShift is provided "as is" without warranties of any kind, express or implied. To the fullest extent permitted by law, our aggregate liability under these Terms is capped at the amounts you have paid us in the twelve months preceding the claim. For Customers still in their free trial period (where no fee has been paid), our aggregate liability is capped at fifty US Dollars (USD 50). We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law (including liability for gross negligence, intentional misconduct, or any non-waivable consumer-protection rights you have under the law of your country of residence).
9. Termination.
Either party may terminate the agreement: you, by cancelling your subscription from the dashboard; ShopShift, with thirty days' notice, or immediately for material breach (including non-payment, abuse of the service, or use that violates Section 5). On termination, your access ends and we will delete your raw data within ninety days. Aggregated, de-identified statistics may be retained.
10. Governing law and disputes.
These Terms are governed by the laws of Denmark, without regard to conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of Copenhagen City Court (Københavns Byret), Denmark, except where mandatory consumer-protection law in your country of residence grants you the right to pursue claims locally.
11. EU & EEA consumers — right of withdrawal.
If you are a consumer resident in the European Union or European Economic Area, you have a statutory right under the EU Consumer Rights Directive to withdraw from this contract within fourteen (14) days of signing up, without giving any reason.
In practice, our thirty-day free trial gives you a longer and broader withdrawal right than the statutory minimum: you may cancel any time during the trial and you will not be charged. If you wish to invoke the fourteen-day statutory right separately — for example, after the trial has converted to a paid subscription — email us within fourteen days of sign-up at billing@shopshift.io with your account email and the words "I am exercising my right of withdrawal." We will refund any fees you have paid within fourteen days, less a pro-rated amount for any service you used after the trial ended.
ShopShift is provided primarily to businesses; consumers in the strict B2C sense will be a small subset of customers, but the right above applies to anyone in the EU/EEA who qualifies.
12. Changes to these Terms.
We may update these Terms occasionally. Material changes will be announced by email and via a banner in the dashboard at least thirty days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
